Ha is a senior associate in the Business Combinations and Capital Transactions Practice Group at Frost Brown Todd’s Louisville office. She is a member of the Franchise & Distribution team, a collaborative, cross-disciplinary group that offers legal services and counsel with a comprehensive understanding of the unique business challenges and opportunities within the franchise and supply chain industry.
Ha regularly assists franchisors with the development and registration of franchise disclosure documents, ensuring compliance with FTC Amended Franchise Rule requirements and state franchise relationship laws. In addition to her franchise work, she drafts and negotiates a broad array of commercial transactions, including those for franchisors, purchasing cooperatives, retailers, national restaurant chains, and brand owners. These transactions include agreements for the supply of goods and services, distribution and wholesale agreements, retail agreements, and vendor agreements. Her experience spans general commercial transaction work, providing legal insight across various industries and facilitating business growth and expansion.
Ha earned her J.D. from the University of Louisville Brandeis School of Law where she graduated summa cum laude. During her time at law school, Ha served as the President and Public Relations Chair of the Women’s Law Caucus, Vice-President of the Student Bar Association, and Senator of the Student Government Association. Additionally, she was a Fellow for the Human Rights Advocacy Program, an Assistant for the Office of Student Affairs and Diversity, and a Member of the Journal of Law and Education.
