Mr. Saathoff has represented public and private clients across a wide range of industries and regions in complex mergers, acquisitions, dispositions, investments, and restructurings. He is experienced in counseling private equity firms and their portfolio companies in purchases and sales of high-value target companies and assets. His work in this area has included the acquisition and disposition of numerous target companies in the insurance industry, as well as manufacturing concerns and financial services providers. Additionally, Mr. Saathoff’s experience in managing buy and sell-side transactions has involved negotiating high-leverage issues with opposing counsel and principals, preparing both primary and ancillary documents, and managing the processes involved in the completion of complex transactions. His background includes transactions ranging from minority investments in small, closely held companies to representation, as primary counsel, of an alternative investment manager in its $1.4 billion sale to a global asset management firm.
