Biography

Nicholas (Nick) Huang is a trusted advisor with extensive experience guiding companies, investors, and founders through complex international and domestic corporate transactions, real estate matters, and trust and estate planning.

He regularly serves as outside general counsel to growing and established organizations, partnering closely with leadership teams to support day-to-day operations, strategic decision-making, and risk mitigation. His practice encompasses entity structuring and formation, corporate governance, mergers and acquisitions, financing and lending transactions, construction and development matters, commercial contracting, director and officer responsibilities, and long-term business planning. He also counsels public and private companies on compliance with federal, state, and local regulatory requirements and represents clients in interactions with government agencies and regulatory audits.

Represented a construction‑technology company in its reverse triangular merger with a national logistics‑technology acquirer, navigating a complex capital structure involving multiple convertible notes, competing investor interests, and time‑sensitive closing risks to secure a successful exit.

Led corporate transactional support for multiple growth‑stage and venture‑backed companies, including strategic investments, operational expansions, and cross‑functional corporate work resulting from competitive pitch processes.

Supported a legacy real estate investment enterprise in expanding its corporate and transactional work, resulting in significant annual collections and continued engagement across multiple business units.

Outside General Counsel Services
