Biography

Bob’s practice is focused on corporate and securities law with clients across all industry sectors, including entertainment, technology, finance and mining. He advises small public and private companies on corporate structuring, public and private securities offerings, mergers and acquisitions (on buy-side and sell-side) and other matters in the field of corporate law.

Bob has experience analyzing U.S. securities laws on behalf of decentralized technology developers that create token ecosystems or deploy digital assets to raise capital through token sales and initial coin offerings (ICOs). He has a particular interest in decentralized finance (DeFi) and smart legal agreements.

Among his entertainment clients, Bob counsels investors and numerous content producers, television networks, online platforms and studios in connection with the development, financing, production and distribution of audiovisual content.

Advises numerous broadcast, online, and “over the top” networks and distributors of motion pictures and television shows.

Advised a prominent real estate development firm in connection with its creation of the premiere real estate crowdfunding portal.

Advised a foreign private equity fund in a roll-up transaction resulting in a diversified precious metals development and mining company with operations in North and South America.

Advised a mining investment company in connection with the acquisition of an artificial intelligence (AI) driven search engine that aims to modernize the mining industry by providing unprecedented access to Toronto Stock Exchange mining data.

Served as a USAID subcontractor facilitating the export of disinfectants for Coronavirus (COVID-19) to Afghanistan.
