Ryan is an associate in the Business Combinations and Capital Transactions Practice Group and serves on the Franchise and Hospitality Industry Team. The Franchise and Hospitality Industry Team is a collaborative, cross-disciplinary team that provides legal services and counsel through a deep understanding of the business challenges and opportunities unique to the franchise industry.
Ryan has experience in the representation of purchasing cooperatives, franchisors, and franchisees for national restaurant chains, equipment and motor vehicle manufacturers, and other franchised concepts. He has drafted and negotiated regional and national supply and distribution arrangements, as well as national carbonated beverage agreements, on behalf of his clients. He was part of the team that created and negotiated one of the first national distribution and program management systems for a national spirits supplier. Ryan has also advised franchisee associations in a wide range of matters, including advice and counsel on franchise agreements, issues that affect the relationship between the franchisee community and the franchisor, and issues relating to vendors and suppliers of the system. Additionally, Ryan works with clients in the development and registration of franchise documents and the navigation of state franchise relationship laws.
Ryan’s background also includes representation of a wide range of clients in corporate governance, finance, real estate, land use, and development deals, including work on commercial mortgage-backed securities where he has assisted capital market lenders navigate commercial real estate loan transactions.
A Kentucky native, Ryan joined the firm in 2019 after working as a summer associate in 2018. He graduated cum laude from William & Mary Law School. While in law school, he served as a member of William & Mary Law Review, worked as a Student Admissions Ambassador, and participated in William & Mary’s Business Law Society.
