Thomas brings substantive and broad experience to the Corporate Group, having represented emerging companies and venture capital funds in equity finance, debt finance, and general corporate matters, and advised angel investors and family offices, among others, with regard to their investments in early-stage growth companies. Thomas also has experience assisting real estate developers in engaging in real estate financing transactions. He is skilled in drafting and negotiating a wide range of commercial transaction and financing agreements, as well as certificates of incorporation, side letters, engagement letters, waivers, and more. Additionally, Thomas is proficient in drafting and reviewing formation/government documents, due diligence memoranda, and SEC filing documents and proxy materials.
