Frost Brown Todd won summary judgment defending Reynolds and Reynolds in a breach of contract action brought by a former executive. The former executive alleged that he was entitled to two severance payments, one under an original Offer Letter and one under a Change in Control Agreement. The Change in Control Agreement contained an integration clause and was signed subsequent to the Offer Letter. The plaintiff was terminated pursuant to a change in control. The case was pending in the Montgomery County Court of Common Pleas. Dick Goehler and Joseph Tomain represented Reynolds and Reynolds.
